Terms of Service for Simple Time Tracker

1. Introduction
Simple Time Tracking ("the Service") is provided by Sagewill di Lupori Arrigo ("we", "us", or "our"), an entity registered in Florence, Italy. The Service is designed to integrate with HubSpot, a customer relationship management platform ("Third-Party Platform").
By using our Service, you agree to be bound by these Terms of Service ("Terms").
If you disagree with any part of the terms, you may not use our Service.
Please note that Sagewill di Lupori Arrigo is not affiliated with, endorsed by, or sponsored by HubSpot in any way. We provide an independent service that integrates with the HubSpot platform. Any issues or concerns related to the HubSpot platform itself should be directed to HubSpot's support channels.
2. Description of Service
The Service provides time tracking functionality integrated with the Third-Party Service, allowing users to log and manage time entries associated with their activities within HubSpot.
3. Pricing and Payment
3.1. The Service operates on a usage-based pricing model, charged on a monthly recurring basis.
3.2. Each user receives 25 free time logs per month, which reset on the same day of the month as the initial installation date.
3.3. Beyond the free tier, pricing is as follows:
$4 per month for every additional 100 time logs (or part thereof)
For example:
- 25-125 time logs: $4/month
- 126-225 time logs: $8/month
- 226-325 time logs: $12/month
And so on.
3.4. Volume discounts are available after reaching the 500 and 1000 time log thresholds.
- After reaching 500, the monthly fee will go down to $3.5 per 100 time logs.
- After reaching 1000, the monthly fee will go down to $3 per 100 time logs.
These discounts are provisioned automatically by Stripe in your billing dashboard when you set the correct amounts.
3.5. Payments are due at the beginning of each billing cycle. Failure to pay may result in service interruption or termination.
4. Commitment Discounts & Refunds
4.1. Quarterly and Annual Commitment Discounts:
Special discounts may be offered to customers who commit to quarterly or annual payment terms. These discounts are applied at our discretion and may vary based on usage patterns and commitment duration..
4.2. Quarterly Commitment Terms:
- Customers who opt for quarterly billing with a 3-month commitment may be eligible for up to 15% discount on their monthly usage fees
- Quarterly commitments automatically renew for successive 3-month periods unless cancelled by either party with at least 7 days' written notice prior to the end of the current commitment period
- Early termination of quarterly commitments may result in forfeiture of discount benefits
- Quarterly commitments are paid in monthly installments (like other plans)
4.3. Discount Application:
- Commitment discounts apply to usage fees beyond the free tier (25 free time logs per month remain unchanged)
- Discount rates may change for renewals but will remain fixed during the active commitment period
- Special commitment terms must be agreed upon in writing and are subject to our approval
- Discounts are calculated after volume discounts have been applied
4.4. Refund requests will be evaluated on a case-by-case basis.

5. Acceptable Use
You agree not to use the Service to:
5.1. Violate any laws or regulations.
5.2. Infringe on the intellectual property rights of others.
5.3. Transmit any material that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, invasive of another's privacy, or otherwise objectionable.
5.4. Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity.
6. Intellectual Property
6.1. The Service and its original content, features, and functionality are owned by Sagewill di Lupori Arrigo and are protected by intellectual property laws.
6.2. You may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the content, in whole or in part, except as expressly authorized by us.
7. Limitation of Liability
7.1. In no event shall Sagewill di Lupori Arrigo, its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Service.
8. Termination
8.1. We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms.
8.2. You may terminate your account at any time by contacting us at support@sagewill.com.
9. Changes to Terms
9.1. We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
9.2. By continuing to access or use our Service after any revisions become effective, you agree to be bound by the revised terms.
10. Governing Law
These Terms shall be governed and construed in accordance with the laws of Italy, without regard to its conflict of law provisions.
