Terms of service

These Terms of Service ("Terms") govern your use of the services provided by Sagewill ("we", "us", "our") through our website—sagewill.com—and related platforms, including but not limited to the "Launch" and "Boost" products (collectively, the "Services"). By accessing or using our Services through our website, you (the “Customer”) agree to be bound by these Terms. If the Customer does not agree to these Terms, they may not use our Services.

1. Services description

Sagewill provides comprehensive go-to-market solutions, including market research, UX design, app and website development aimed at helping the Customer bring their product to market. Our services are designed to cover all necessary areas for a successful launch, with a focus on delighting users and convincing them to buy.

2. Payment terms

Payments for our services must be made in advance in three installments via Sagewill’s customer portal (app.sagewill.com). Each installment includes two revisions. Additional revisions may incur extra charges. Installments paid are non-refundable. The Customer may choose to discontinue the service between installments if the service does not meet expectations.

3. Service delivery

We strive to deliver services within a 6-week window; however, we cannot guarantee this time frame due to potential external causes or delays. Deliverables will be provided via our web portal, which includes a chat environment for support and receiving deliveries.

4. Customer obligations

The Customer agrees to provide timely feedback to facilitate the service process. The Customer must also comply with all applicable laws and regulations in their use of the Services.

5. Intellectual property rights

Upon completion of services and full payment, all materials provided by Sagewill, including software, designs, graphics, and written content, become the sole property of the customer. Sagewill assigns all ownership rights of the delivered products to the customer, granting them full ownership to use, modify, and distribute the work as they see fit.

6. Limitation of liability

Sagewill shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses resulting from the use of or inability to use the Services.

7. Disclaimer of warranties

The Services are provided "as is". Sagewill makes no warranty that the Services will meet the Customer’s requirements or be available on an uninterrupted, secure, or error-free basis.

8. Indemnification

The Customer agrees to indemnify and hold harmless Sagewill, its officers, directors, employees, and agents, from and against any claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from the Customer’s use of and access to the Services, or from or in connection with the products delivered through our Services.

9. Modification of terms

Sagewill reserves the right, at our discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after those revisions become effective, the Customer agrees to be bound by the revised terms. If the Customer does not agree to the new terms, they are no longer authorized to use the Services and their access will be terminated.

10. Termination

We may terminate or suspend access to our Services immediately, without prior notice or liability, for any reason whatsoever, including, without limitation, if the Customer breaches the Terms.

11. Governing law

These Terms shall be governed and construed in accordance with the laws of Italy, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
